YouChoose Retailer Participation Terms and Data Processing Agreement

1. About These Terms

These terms govern your participation as a retailer in the YouChoose service operated by Vantage Chain Advisory Limited, a company registered in England and Wales under registration number 17246743, London, United Kingdom. Referred to in these terms as YouChoose.

By completing retailer registration, you agree to these terms and to the Data Processing Agreement set out at the end of this document. Please read both carefully before proceeding.

2. What YouChoose Is

YouChoose is an intermediary service that connects consumers who want to buy goods with retailers who want to win their business. YouChoose is not a retailer. We do not sell products. We do not hold stock. We do not process payments. We are not a party to any purchase made between a consumer and a retailer through our service.

YouChoose operates as a reverse auction platform. Consumers submit purchase specifications. We share those specifications — without consumer personal details — with registered retailers in the relevant category. Retailers submit competitive bids. The consumer reviews all bids and selects the one that works best for them. The transaction is completed directly between the consumer and the retailer on the retailer's own website.


3. Registration and Approval

Retailer registration is by invitation only. You may only register through a unique registration link issued to you directly by YouChoose. Self-registration is not available.

To complete registration you must provide your company name, contact name, contact email address, contact telephone number, the product categories you wish to receive specifications for, and a password.

Your registration is subject to review and approval by YouChoose. You will receive notification of approval or rejection within 2 working days of completing registration. On approval, you will receive a welcome email and your retailer dashboard will be activated. On rejection, YouChoose will contact you directly with a reason.

YouChoose reserves the right to decline any retailer registration without providing a reason.


4. The YouChoose Trial

YouChoose is currently operating as a closed trial. We reserve the right to limit the number of participating retailers, to close participation at any time, and to conclude the trial at any time with reasonable notice to participants.

During the trial, participation is free of charge to retailers. In a future commercial phase, YouChoose may introduce a commission or fee structure. We will give you a minimum of 30 days notice before any charges take effect.


5. How Specifications Work

When a consumer submits a purchase specification that includes items in your registered categories, you will receive a notification email. The email will contain the demand reference number, a description of the items in your category, the consumer's budget tier, and the consumer's required delivery timeline.

Consumer personal details are not included in specification notifications. Consumers are identified by reference number only. You will not know the consumer's identity until they select your bid and choose to share their contact details.

Each item within a consumer specification is assigned an individual item reference number connected to the overall demand reference. For example, if the demand reference is YC-2026-001, items are referenced as YC-2026-001-01, YC-2026-001-02, and so on. All bids and communications must reference the relevant item reference numbers.

Your retailer dashboard will display a real-time countdown for each active specification showing days, hours, and minutes remaining in the response window. Colour coding indicates urgency — green above 24 hours, amber between 24 and 6 hours, red below 6 hours.

You have 2 working days from the moment a specification notification is sent to you to submit a bid. This is a firm deadline. Bids submitted after the response window closes will not be considered.


6. Bid Requirements

Every bid submitted through YouChoose must include:

  1. 01The demand reference number
  2. 02The item reference number for each item you are bidding on — where you are bidding on multiple items within the same demand, include a separate item reference for each item
  3. 03Your company name
  4. 04The exact product name and model
  5. 05Your offer price inclusive of VAT
  6. 06Delivery timeframe from order confirmation
  7. 07Delivery cost — state zero if free delivery is included
  8. 08Any additional terms or conditions that apply to this offer
  9. 09The expiry date and time of your offer — you must specify when your offered price is valid until
  10. 10A direct purchase URL taking the consumer to the correct product at the bid price
  11. 11Whether installation or setup is included where relevant to the product category
  12. 12Whether the product is new, refurbished, or open-box
  13. 13Your returns policy for this product
  14. 14Any warranty or guarantee terms that apply

Incomplete bids will be returned to you for correction. You may resubmit a corrected bid within the remaining response window.

Tracked purchase links

The direct purchase URL you provide must take the consumer to the correct product at the bid price at the time of submission. In a future phase of the YouChoose service, we may introduce tracked purchase links that attribute orders to YouChoose. We will give you a minimum of 30 days notice before any tracked link requirement takes effect and will work with you to implement it.

Alternative specification offers

Where you are unable to supply the exact product specified by the consumer but can offer an alternative that meets their stated requirements, you may submit an alternative specification offer alongside your primary bid. The alternative must clearly identify the product name, model, and specification differences from the consumer's original request. Both offers will be presented to the consumer clearly labelled as Primary Offer and Alternative Offer. The consumer is not obligated to consider the alternative.


7. Bid Standards

All bids submitted through YouChoose must meet the following standards:

  1. 01Accuracy — every detail in your bid must be accurate at the time of submission. You must not submit a bid for a product that is out of stock, discontinued, or unavailable at the stated price.
  2. 02Pricing — your offer price must be the price at which you will sell the product to the consumer if they select your bid. You may not increase your price after bid submission.
  3. 03Expiry — your bid must include a clear expiry date and time. You are bound by your stated price until expiry. You may not withdraw a bid before its expiry date without contacting YouChoose and providing a reason.
  4. 04Honesty — you must not misrepresent the product, its specification, its condition, its availability, or any other material detail.
  5. 05Competition law — you must not discuss, share, or coordinate bid pricing with any other retailer participating in YouChoose. Each bid must be prepared independently.

Bid verification

Every bid is reviewed by YouChoose before it is presented to the consumer. We run an automated price check against live market prices as part of this review. Where a bid appears inconsistent with current market pricing, we will flag this and may request clarification or ask you to resubmit. You will receive a notification with the reason and the market price reference. You may resubmit a corrected bid within the remaining response window. Each resubmission is subject to the same verification process as the original bid.


8. Bid Outcomes

When a consumer selects your bid, you will receive an automated notification. This notification will include the demand reference number, the item reference numbers, and — where the consumer has consented to share their details — the consumer's name and email address.

Where the consumer has not consented to share their contact details, you will receive only their demand reference number and a notification that your bid was selected. The consumer will have been directed to your purchase URL to complete the transaction.

You must make contact with the consumer within 24 hours of receiving a selection notification where consumer contact details have been shared. Failure to make contact within this window may result in a warning or suspension of your account.

Where your bid is not selected, you will receive an automated notification confirming this. No reason will be provided — the consumer's choice is final.


9. Fulfilment Obligations

Where a consumer selects your bid and completes a purchase, you are responsible for fulfilling that order in accordance with:

  1. 01The terms stated in your bid — price, delivery timeframe, delivery cost, installation, warranty.
  2. 02The Consumer Rights Act 2015 — goods must be of satisfactory quality, fit for purpose, and as described.
  3. 03The Consumer Contracts Regulations 2013 — consumers have a 14-day right to cancel distance purchases.
  4. 04All other applicable consumer protection legislation in England and Wales.

YouChoose is not a party to the transaction between you and the consumer. Disputes about product quality, delivery, returns, or refunds are matters between you and the consumer. However, we reserve the right to suspend or terminate your participation if we receive evidence of repeated fulfilment failures or consumer complaints.

Purchase confirmation

Once a sale is completed, you are asked to confirm the sale within your retailer dashboard by clicking Confirm Sale and selecting the date of completion. This is optional but helps us maintain accurate records and improve the service.


10. YouChoose Obligations to Retailers

YouChoose commits to the following:

  1. 01We will share consumer specifications with you promptly and clearly.
  2. 02We will review and verify your bids within 2 working hours of submission during working hours.
  3. 03We will notify you of bid outcomes promptly and automatically.
  4. 04We will not share your bid details with other retailers before the consumer makes a selection.
  5. 05We will not share your company information with consumers beyond your company name as included in your bid.
  6. 06We will give you a minimum of 30 days notice before introducing any fees, commission, or tracked link requirements.
  7. 07We will handle your registration and contact data in accordance with our Privacy Notice and the Data Processing Agreement below.

11. No Exclusivity

Participation in YouChoose does not create any exclusivity arrangement. You remain free to sell your products through any other channel. YouChoose is free to invite any number of retailers in your category to participate.


12. Suspension and Termination

YouChoose reserves the right to suspend or terminate your retailer account without notice if:

  1. 01You submit a bid that is inaccurate, misleading, or fraudulent.
  2. 02You fail to fulfil an order following a consumer selection.
  3. 03You fail to make contact with a consumer within 24 hours of receiving a selection notification where contact details were shared.
  4. 04You breach any provision of these terms.
  5. 05You breach the Data Processing Agreement below.

You may terminate your participation at any time by notifying us in writing at contact@vantagechainadvisory.com. Termination does not affect any obligations arising from bids submitted before the date of termination.


13. Liability

YouChoose provides its service with reasonable care and skill. However, to the fullest extent permitted by law:

  1. 01We are not liable for any consumer's failure to complete a purchase after selecting your bid.
  2. 02We are not liable for any indirect, consequential, or economic loss arising from your participation in YouChoose.
  3. 03We are not liable for any loss arising from the automated price check process or any bid verification decision.

Nothing in these terms limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.


14. Governing Law

These terms are governed by the laws of England and Wales. Any disputes arising from these terms or your participation in YouChoose will be subject to the exclusive jurisdiction of the courts of England and Wales.

Data Processing Agreement

This Data Processing Agreement forms part of and is incorporated into the YouChoose Retailer Participation Terms. By accepting the Retailer Participation Terms, the Retailer agrees to the obligations set out in this Data Processing Agreement.

Parties

Data Controller: Vantage Chain Advisory Limited, registration number 17246743, London, United Kingdom. Email: contact@vantagechainadvisory.com. Referred to in this agreement as YouChoose.

Data Processor: The retailer named in the accompanying Retailer Participation Terms. Referred to in this agreement as the Retailer.

1. Subject Matter

YouChoose shares consumer purchase specifications with the Retailer for the sole purpose of enabling the Retailer to prepare and submit a bid through the YouChoose service. This agreement governs the Retailer's handling of any personal data contained in or associated with those specifications.

2. Nature and Purpose of Processing

The Retailer receives consumer purchase specifications. Each specification may contain a consumer reference number, a description of what the consumer wants to buy, the consumer's maximum budget tier, the consumer's required delivery timeline, and any stated preferences or requirements.

Consumer names and email addresses are not included in specifications. Where a consumer selects the Retailer's bid and explicitly consents to sharing their contact details, the Retailer will receive the consumer's name and email address following that selection event.

The sole purpose of sharing this data is to enable the Retailer to prepare and submit a bid and, where a bid is selected and consent given, to fulfil the resulting order.

3. Duration

This agreement applies for the duration of the Retailer's participation in YouChoose and for 30 days following termination of that participation, during which time the Retailer must confirm permanent deletion of all personal data received from YouChoose.

4. Type of Personal Data and Data Subjects

The personal data shared consists of consumer purchase specifications and reference numbers, and — where consent is given — consumer names and email addresses. Data subjects are consumers who have submitted specifications through YouChoose. No special category personal data as defined under UK GDPR Article 9 is shared.

5. Retailer Obligations

The Retailer agrees to:

  1. 01Process personal data received from YouChoose only for the purpose of preparing and submitting a bid and fulfilling a selected order. Any other use — including marketing to consumers, data analysis, profiling, or sharing with third parties — is strictly prohibited.
  2. 02Where the Retailer receives a consumer's name and email address following a bid selection, use those details only to make contact about the specific order arising from that selection. The Retailer must not add the consumer to marketing lists or contact them for any other purpose without obtaining separate consent directly from the consumer.
  3. 03Implement appropriate technical and organisational measures to protect personal data received from YouChoose against unauthorised access, loss, disclosure, or destruction.
  4. 04Not engage any sub-processor to handle YouChoose personal data without prior written consent from YouChoose.
  5. 05Notify YouChoose in writing within 48 hours of becoming aware of any personal data breach involving data received from YouChoose.
  6. 06Delete all personal data received from YouChoose within 30 days of the termination of the Retailer's participation, and confirm that deletion in writing to YouChoose at contact@vantagechainadvisory.com on request.
  7. 07Assist YouChoose in responding to data subject rights requests — including requests for access, rectification, erasure, restriction, portability, and objection — where those requests relate to personal data the Retailer holds that was received from YouChoose.
  8. 08Make available to YouChoose all information reasonably necessary to demonstrate compliance with this agreement and permit audits or inspections by YouChoose or its appointed representative on reasonable written notice.

6. YouChoose Obligations

YouChoose agrees to:

  1. 01Share only the minimum personal data necessary for the Retailer to prepare a bid or fulfil a selected order.
  2. 02Notify the Retailer of any changes to data handling requirements with a minimum of 30 days notice.
  3. 03Notify the Retailer if a data subject makes a rights request that may affect personal data the Retailer holds.
  4. 04Implement appropriate technical and organisational measures to protect personal data within the YouChoose platform.

7. International Transfers

The Retailer must not transfer any personal data received from YouChoose outside the United Kingdom or the European Economic Area without the prior written consent of YouChoose and the implementation of appropriate safeguards as required under UK GDPR Chapter V.

8. Governing Law

This Data Processing Agreement is governed by the laws of England and Wales. Any disputes arising from this agreement will be subject to the exclusive jurisdiction of the courts of England and Wales.

9. Entire Agreement

This Data Processing Agreement, together with the YouChoose Retailer Participation Terms, constitutes the entire agreement between YouChoose and the Retailer regarding the processing of personal data in connection with the YouChoose service. It supersedes any prior agreement or understanding on this subject.
